These Terms of Service ("Terms") govern your use of the VPN service and website operated by Prisma Group International Ltd Co ("NodrixVpn", "we", "us"). We operate globally. By creating an account or using the Service, you agree to these Terms, regardless of your country of residence.

1. Eligibility

You must be at least 13 years old (or the age of digital consent in your jurisdiction — 16 in the EEA under GDPR) to use the Service. By using the Service, you represent that you meet this requirement. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

NodrixVpn provides virtual private network (VPN) connectivity to help protect your privacy online. We offer subscription plans with access to servers in 45 countries and support for protocols including WireGuard, OpenVPN, and VLESS. The Service is available to users worldwide, subject to applicable local laws and regulations.

3. Acceptable Use

You agree not to use the Service to:

• Engage in any unlawful activity under the laws of your jurisdiction or the country where the server is located;
• Infringe the intellectual property rights of others;
• Distribute spam, malware, or engage in phishing;
• Interfere with or disrupt the Service or servers;
• Attempt to gain unauthorized access to our systems;
• Use the Service in violation of U.S. export control or sanctions laws.

Violations may result in immediate suspension or termination without refund.

4. Subscriptions and Billing

Subscriptions renew automatically until cancelled. You can cancel at any time from your client panel. Fees are billed in advance in USD. We offer a 30-day money-back guarantee for new subscriptions. Promotional ("Early Adopter") pricing is locked for early subscribers and will be maintained on future renewals.

5. Cancellation and Refunds

You may cancel your subscription at any time. Refund requests within 30 days of a new subscription will be honored in full. Refunds for renewal periods are at our discretion. Refunds are processed in USD at the applicable exchange rate.

7. Disclaimer of Warranties

The Service is provided "AS IS" without warranties of any kind. We do not guarantee uninterrupted or error-free service. Service availability may vary based on your geographic location and local network restrictions (e.g., government firewalls, ISPs blocking VPN traffic).

8. Limitation of Liability

To the maximum extent permitted by law, Prisma Group International Ltd Co shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits or data, arising from your use of the Service. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Mexico, US, without regard to conflict-of-laws principles. To the extent permitted by your jurisdiction's laws (including GDPR and EU consumer protection laws), any dispute shall be resolved by binding arbitration administered in New Mexico, US. Where local consumer protection laws grant inalienable rights (as in the EU/EEA), those rights are preserved notwithstanding this arbitration clause. You waive any right to participate in a class action to the extent permitted by applicable law.

10. Sanctions and Export Compliance

The Service is not offered to users located in countries subject to U.S. sanctions or embargoes, or to persons on sanctions lists. Use of the Service in violation of U.S. export laws is prohibited.

11. Modifications

We may modify these Terms from time to time. We will notify you of material changes by email or a notice on our website. Continued use after changes constitutes acceptance.
